4. Client Responsibilities
To perform our services effectively, clients agree to:
1. Provide accurate business information.
2. Grant necessary access to websites, analytics, and marketing platforms.
3. Respond to requests for approvals or information promptly.
4. Maintain active payment methods for recurring services.
Delays in providing information or access may affect project timelines and results.

5. Fees and Payments
All fees are due according to the payment schedule outlined in the agreed proposal or invoice.
1. Services may be billed monthly or as a one-time project fee.
2. Late payments may result in delayed work or service suspension.
3. Payments already made are non-refundable unless otherwise agreed in writing.

6. Termination
Unless otherwise stated in writing, services operate on a month-to-month basis.
Either party may terminate services with written notice before the next billing cycle.
SEO Ranking reserves the right to suspend or terminate services if:
1. Payments remain unpaid.
2. The client violates these Terms.
3. The client engages in unlawful or abusive conduct.
4. Any outstanding balances remain payable upon termination.

7. No Guarantee of Results
SEO Ranking follows industry best practices and proven optimization strategies. However, search engines regularly update their algorithms, and many ranking factors remain outside our control.
Therefore, we do not guarantee:
1. Specific keyword rankings
2. Google Maps positions
3. Traffic increases
4. Lead volume
5. Revenue growth
6. Past performance does not guarantee future results.

8. Intellectual Property
Unless otherwise agreed in writing:
SEO Ranking retains ownership of its methodologies, templates, strategies, frameworks, and proprietary materials.
Clients retain ownership of their business information, websites, and content provided to us.
Upon full payment, clients may use delivered work for their business purposes.

9. Confidentiality
Both parties agree to keep confidential information private and not disclose non-public business information to third parties without consent.
This obligation survives termination of the business relationship.

10. Third-Party Platforms
Our services may involve third-party platforms, including Google, Google Business Profile, Google Analytics, Google Search Console, Meta, website hosting providers, and other software tools.
SEO Ranking is not responsible for:
1. Third-party outages
2. Platform policy changes
3. Account suspensions
4. Algorithm updates
5. Actions taken by external service providers

11. Limitation of Liability
To the fullest extent permitted by law:
SEO Ranking shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our website or services.
Our total liability shall not exceed the amount paid by the client for services during the three (3) months preceding the claim.

12. Indemnification
You agree to defend, indemnify, and hold harmless SEO Ranking, its employees, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses arising from:
1. Your use of our services.
2. Your violation of these Terms.
3. Content, data, or materials supplied by you.

13. Non-Disparagement
Both parties agree to refrain from making knowingly false, misleading, or defamatory public statements regarding the other party during and after the business relationship.

14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, United States, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively in the courts located within Texas.
